Winn Feline Foundation is seeking a volunteer to serve as treasurer of the organization for a two-year term. The volunteer would be a member of the board of directors as well, serving a three year concurrent term. Nonprofit accounting experience is preferred. A passion for cats and the mission of the foundation (furthering medical research into feline diseases at major institutions worldwide through grant funding) is a must. Winn has a third party accounting firm on retainer to handle day to day financial bookkeeping, banking and record keeping. We use Quickbooks Online as our accounting software. Treasurer must be proficient in Quickbooks, and Microsoft Office programs including Excel and Outlook.

Board of Directors Roles and Responsibilities

Membership of the Board of Directors

  • The Board of Directors of The Winn Feline Foundation (WFF) is curently made up of nine directors.
  • Board Members can reside in any country; business meetings are held in the United States and during regular business hours, for the most part. Some evening phone calls may be required on occasion.
  • Directors serve three year terms and may be appointed to successive terms or until his/her successor shall be duly elected and shall qualify.
  • Directors are volunteers. They are not paid for attendance at meetings or work done by them. All reasonable and fair expenses, including domestic airfare, are reimbursed for the October and February Board meetings, and up to $500 for the June Board meeting upon presentation of appropriate itemizations. These reimbursements are made from the Foundation's Operating fund.
  • Officers of the WFF are: President, President-elect, Secretary and Treasurer (5 year term limit) . Election of the Officers is held every other year at the June meeting of the WFF Board of Directors.

Role of Winn Board Members

The members and officers of The Winn Feline Foundation Board of Directors function as working board members. Although they do not receive a salary for their work, they are expected to contribute to the Foundation in a variety of ways. There are specific position descriptions for the officers and Veterinary Consultants. Below is a general description of the responsibilities for members of the Board.

  1. Meetings: The WFF Board of Directors meet in February, June, and October. It is preferred that the Board member attend the meetings to report on their activities since the previous Board meeting and to discuss plans for the coming months. On the rare occasions members are unable to attend, they will be expected to provide a written report in advance of the Board meeting.
  2. Specific Duties: Each individual Board member is expected to assume one or more responsibilities. Examples:
    1. The Treasurer is responsible for oversight of donor records, and periodic Treasurer's reports.
  3. Volunteer Duties: Each Board member may be required to attend one non-reimbursed meeting as a Winn representative each year, such as a veterinary conference, the International show, a pet expo, etc.
  4. Promotion: Each Board member may be asked to make local presentations to clubs or organizations or to promote Winn in their local area. In addition, Board members are expected to assist in enlarging the donor base beyond its usual scope.
  5. Monetary Donation: All Board members are expected to make an annual donation to Winn.

Treasurer Roles and Responsibilities (revised Nov. 2012)

The Treasurer reports on the financial status of the WFF at each meeting of the Board of Directors.

Specific responsibilities include:

  • Insure compliance with best practices in non-profit accounting for 501 (c )(3) organization.
  • Oversight of donor records.
    • Create various contribution and financial reports (can be assigned to accounting team with oversight)
      • Stipulated fund reports
      • Year over year reports and analysis
      • Cumulative and annual donor reports
      • Monthly performance reports
      • Annual report
      • Ad hoc reports
      • Oversight of banking.
      • Oversight of accounting team (third-party contract).
      • Periodic Treasurer's reports (specifically at Board meetings).
        • Prepare and deliver reports on the status of the investments and the proceeds thereof along with the standard financial performance reports.
        • Preparation of Form 990.
        • Oversight of annual audit; review of audit.
          • Contract auditor for engagement in timely manner to meet all IRS and other deadlines.
          • Support audit process by supervising compliance and fulfillment of audit requests.
          • Review and respond to auditor's letter.
          • Working with president and chief executive prepare annual budget and monitor performance of actuals to budget throughout year.
          • Investments are made by the Treasurer with the consent of and under the direction of the WFF Finance Committee. (See committee information below)

Finance Committee

The Finance Committee consists of the President, Treasurer, and Winn's Attorney. This group is empowered to make investment recommendations to the board. Investments are made by the Treasurer with the consent of and under the direction of the WFF Finance Committee. Reports on the status of the investments and the proceeds thereof are reported with the financial reports.

Approximate Hours required for Treasurer

  • Review investment strategy with broker 30 minutes per month
  • Oversight of accounting team 1 hour per month
  • Financial committee report 1 hour prep three times a year
  • Federal tax return form 990 preparation 24 hours at year end (April/May)
  • Review and support audit 8-10 hours (April/May/June)
  • Create various contribution reports 6 hours a year
  • Review & respond to management letter from auditor 4 hours (June)
